The honest hierarchy for spending on comfort and bills is attic insulation and air sealing first, duct sealing second, then windows. Windows are expensive per square foot of wall area and rarely the largest single loss in a house.
That said, there are clear replace signals: water damage at the sill, sashes that will not stay up or lock, single-pane glass in a cold climate, and windows in a bedroom that do not meet emergency escape requirements. Safety and water intrusion are not optional.
If you are selling soon, be realistic. Replacement recovers a share of cost, not all of it, and buyers notice failing windows more than they reward new ones. Fixing visibly broken or fogged units may be the better pre-listing spend.
If money is limited, phasing by elevation is legitimate. Do the wall with the worst exposure or the worst damage first.
